Terms and Conditions for Mekanyk Sync Platform

1. Introduction

Welcome to the Mekanyk Sync Platform ("Platform", "Services"), operated by Mekanyk Tech ("we", "us", "our"), a company registered in South Africa. The Platform consists of our customer mobile application, our workshop administration application, and our website (including public workshop and vehicle-listing pages). These Terms and Conditions ("Terms") govern your access to and use of the Platform.

In these Terms, "Customer" means a vehicle owner using the Platform to manage vehicles and book services, and "Workshop" means an automotive workshop or service provider using the Platform to manage its business. "You" means any user of the Platform.

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

Please read these Terms carefully.

2. Eligibility

You must be at least 18 years old to use the Platform. By agreeing to these Terms, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you register a Workshop, you additionally represent that you are authorized to act on behalf of that business.

3. Account Registration and Security

To access most features of the Platform, you must register for an account. When you register, you agree to: (a) provide accurate, current, and complete information about yourself as prompted ("Registration Data"); (b) maintain the security of your login credentials; (c) maintain and promptly update your Registration Data to keep it accurate, current, and complete; and (d) accept responsibility for all activities that occur under your account.

We may require you to verify your phone number using a one-time passcode sent by SMS, and you may sign in using supported third-party providers (such as Google). You are responsible for keeping your phone number and email address current, since we use them for verification and important service notices. Notify us immediately of any unauthorized use of your account.

4. Use of the Platform

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform:

In any way that violates any applicable national or international law or regulation (including, without limitation, the laws of South Africa).
To exploit, harm, or attempt to exploit or harm minors in any way.
To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation, other than through the Platform's own content and broadcast features used in accordance with section 9.
To impersonate or attempt to impersonate Mekanyk Tech, a Mekanyk Tech employee, another user, or any other person or entity.
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or which, as determined by us, may harm Mekanyk Tech or users of the Platform or expose them to liability.
To interfere with the proper working of the Platform, including introducing any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform, the server on which the Platform is stored, or any server, computer, or database connected to the Platform, or to bypass the Platform's security and request-integrity measures.

5. Bookings and Workshop Services

The Platform enables Customers to request, track, and manage vehicle service bookings with Workshops, and enables Workshops to manage those bookings (including bookings a Workshop records for walk-in customers).

We are not the service provider. Workshops are independent businesses. We facilitate the connection and the booking workflow, but the service agreement for any vehicle work is solely between the Customer and the Workshop. We do not endorse or guarantee any Workshop's services, quotes, workmanship, timelines, or pricing.
Payment for vehicle services is arranged and settled directly between the Customer and the Workshop. We do not process payments for vehicle services and are not a party to those transactions.
Booking changes. Bookings may be confirmed, declined, rescheduled, or cancelled by either party through the Platform. Cancellation reasons may be recorded to improve the service.
Offers from Workshops that service your vehicle. When you book with a Workshop and it services your vehicle, you become its customer, and it may then send you offers and updates about its own services through the Platform unless you opt out. You can opt out at any time, free of charge, and every marketing message tells you how (see section 11).
Disputes about vehicle services, workmanship, or pricing must be resolved between the Customer and the Workshop. We may, at our discretion, assist with communication but have no obligation to mediate or resolve such disputes.

6. Workshop Spaces and Connections

Customers do not browse or compare Workshops on the Platform. Instead, a Customer connects to a specific Workshop deliberately — by scanning the Workshop's QR code, entering its referral code, or searching for it by name — and that Workshop then has a dedicated space in the Customer's app.

Your choice, your list. You may connect to up to five Workshops and choose one as your primary Workshop. You can reorder, switch between, or remove connections at any time in the app. Removing a connection does not cancel existing bookings.
What a connection does. A connection tells us which Workshop's space to show you and allows that Workshop to reach you with its content through the Platform. Offers and reminders by push notification or WhatsApp go only to the Workshop's customers, on the opt-out basis described in section 11. A connection does not by itself give the Workshop any personal information about you beyond what your bookings with it already share.
The Workshop's space is the Workshop's. Content shown in a Workshop's space — its profile, tagline, welcome message, photos, services and pricing (where the Workshop chooses to publish pricing), promotions, announcements, updates, and tips — is published by that Workshop, not by us. It is a User Contribution under section 14 and is subject to the content standards in section 9. We do not endorse it, and any offer it contains is made by the Workshop.
No rankings. We do not rank, recommend, or compare Workshops, and search results identify Workshops rather than rate them.
Unavailable Workshops. If a Workshop's account is suspended or closed, its space will show as unavailable and, where you have other connections, you will be offered a switch. Your bookings and vehicle records are unaffected.

7. Workshop Subscriptions and Billing

Workshops may use the Platform on a free plan or subscribe to a paid plan with additional features and capacity.

Billing and renewal. Paid plans are billed in advance in South African Rand on a recurring monthly basis. Payments are processed by our payment provider, Paystack. By subscribing, you authorize us to charge your payment method through Paystack at the start of each billing period using the secure payment authorization created when you first paid. We do not store your full card details.
Failed payments. If a renewal payment fails, we will retry it and notify you. If payment is still unsuccessful after a grace period, your subscription may be downgraded to the free plan; your account and data remain accessible subject to the free plan's limits.
Plan changes and cancellation. You may change or cancel your plan in the workshop application. Downgrades and cancellations take effect in accordance with your current billing period; amounts already paid for the current period are non-refundable unless required by law.
Pricing changes. Plan prices and features may change. We will give Workshops reasonable advance notice of price increases before they take effect for an existing subscription.
Invoices and tax. We issue tax invoices for subscription payments in accordance with South African law. You are responsible for providing accurate billing details.

8. Vehicle Sales Listings

Workshops may list vehicles for sale on the Platform, and these listings may be published on our public website.

We are a venue only. We are not the seller, a dealer, an agent, or a broker in respect of any listed vehicle, and we are not a party to any sale. Any negotiation, sale agreement, payment, and transfer of ownership occurs directly between the buyer and the selling Workshop.
Listing accuracy. The selling Workshop is solely responsible for the accuracy, condition disclosure, lawful ownership, and pricing of its listings, and for its right to sell each vehicle.
Buyer responsibility. Buyers must conduct their own due diligence before purchasing — including inspecting the vehicle, verifying documentation and ownership, and completing any police clearance, roadworthy certification, and registration requirements under South African law.
Enquiries. If you enquire about a listed vehicle, your contact details are shared with the selling Workshop so it can respond to you.
We may remove any listing at our discretion, including listings we believe to be inaccurate, unlawful, or in breach of these Terms.

9. Workshop Content, Broadcasts, and Content Standards

Workshops may publish content to their connected Customers through the Platform — promotions, announcements, updates, and tips, together with profile text (such as a tagline and welcome message), photos, and images generated with the Platform's AI tools — and, on eligible plans, may send broadcasts to their customers by in-app card, push notification, and WhatsApp.

Workshops are responsible for what they publish. Each Workshop is solely responsible for the accuracy and lawfulness of its content and broadcasts, including compliance with the Consumer Protection Act (CPA), the National Credit Act (NCA), the Protection of Personal Information Act (POPIA), and the National Road Traffic Act (NRTA). This applies equally to images generated with the Platform's AI tools from a Workshop's prompt.
Content standards. Content must not: advertise services that are unlawful to offer (for example odometer alteration, VIN tampering, roadworthy certificates without an accredited test, or defeating emissions or safety equipment); offer credit or deferred payment unless the Workshop is a registered credit provider or the offer is through a named, licensed third party; redirect payments or personal data off the Platform in a manner consistent with fraud, including through link shorteners or imitation domains; contain sexual content, hate speech, threats, or other material unsuitable for a general audience; make false, misleading, or unverifiable claims, including reference prices not genuinely charged, unqualified guarantees, or unauthorised claims of manufacturer approval; use third-party trade marks or copyrighted material in a way that implies endorsement; expose customers' personal information, including legible number plates, identifiable faces without consent, or photographs of documents; or disparage other identifiable workshops.
Automatic checks and review. Every piece of Workshop content is checked automatically before it reaches Customers. Most content publishes within seconds. Content that clearly breaches these standards is withheld with a plain-language reason, and content that is unclear is held briefly for review by a person. Where a check cannot be completed, content is withheld rather than published unchecked. Every decision is recorded.
Appeals. A Workshop may appeal any withheld or held content from the workshop application. Appeals are reviewed by a person. If the automatic decision was wrong, the content is released and the strike removed.
Repeated breaches. Three blocked items within 30 days pause a Workshop's ability to publish pending review. A block for an unlawful service, a scam, or prohibited material pauses publishing and broadcasts immediately, on a first offence. A publishing pause affects publishing only — a Workshop's bookings, profile, existing customers, and already-published content are never affected by a moderation action.
Broadcasts. Broadcasts are direct marketing and are sent on an opt-out basis. A Workshop may broadcast to its own customers — people whose vehicle it has serviced through a booking on the Platform, including walk-in bookings it recorded — about its own services, as POPIA section 69(3) permits for existing customers, without a separate opt-in. The Platform enforces the conditions of that permission automatically: customers are told at booking that they may receive offers and how to stop them; every marketing message names the Workshop and carries an opt-out; opt-outs take effect immediately and are final for that Workshop; anyone who has opted out — or who is not the Workshop's customer and has not opted in — is skipped; and broadcasts are delivered only during the hours in which direct marketing is permitted under the Consumer Protection Act regulations, with anything queued outside those hours held for the next permitted window. WhatsApp broadcasts are sent from the Mekanyk Sync WhatsApp number on the Workshop's behalf. Workshops must not attempt to circumvent these controls or contact customers who have opted out. Because WhatsApp broadcasts are sent from a sender shared by all Workshops on the Platform, we may limit, delay, or pause broadcasts to protect deliverability for every Workshop, and a broadcast reported as spam may result in an immediate pause.
Reporting. Customers can report any Workshop content from within the app. Reports are reviewed by a person.
Our rights. We may withhold, remove, or require changes to any Workshop content or broadcast at our discretion, including where we believe it breaches these standards, applicable law, or these Terms.

10. AI Features

The Platform includes AI-powered features, such as the Mekanyk AI assistant and AI-supported tools for Workshops.

AI outputs are generated automatically and are provided for general informational purposes only. They may be incomplete or inaccurate, and they do not constitute professional mechanical, safety, financial, or legal advice.
Always have vehicle concerns assessed by a qualified professional. Do not rely on AI outputs for safety-critical decisions.
Do not share personal or sensitive information in AI conversations beyond what is needed. Interactions may be monitored for quality and safety, and are processed by third-party AI providers as described in our Privacy Policy.
Workshops may generate images for their content with the Platform's AI tools, subject to daily limits. The Workshop is responsible for the prompt and for the resulting image as if it had uploaded it.
We use AI to help check Workshop content against the content standards in section 9. No content is blocked without a reason being given and an appeal to a person being available.

11. Communications

By creating an account, you agree to receive service communications needed to operate the Platform — such as verification codes, booking confirmations and updates, booking-tracking links, billing notices, and security alerts — by SMS, email, push notification, and, where available, WhatsApp. You can manage push notifications in your device settings and opt out of optional marketing communications at any time; service communications required to run your account (such as verification codes and billing notices) cannot be opted out of while your account is active.

Offers and updates from your Workshops. A Workshop that has serviced your vehicle through a booking on the Platform may send you promotions, updates, and reminders about its own services through the Platform — as cards in the Workshop's space in the app and by push notification and WhatsApp. You do not need to opt in: as the Workshop's customer, you receive these by default under POPIA section 69(3), which is why we tell you at booking and in every marketing message how to stop them. WhatsApp messages are sent from the Mekanyk Sync number on the Workshop's behalf and always name the Workshop; they are only delivered during the hours the Consumer Protection Act regulations allow for direct marketing. You can opt out at any time, free of charge — reply STOP to any WhatsApp marketing message, use the notification and offer settings in the app, or contact us — and your opt-out takes effect immediately and is final for that Workshop until you choose to opt back in. A Workshop you have connected to but never booked with may send you marketing only if you opt in. Opting out never affects your bookings or the service messages about them.

12. Workshop Obligations for Client Information

Workshops may record their own customers' personal information on the Platform (for example, to create walk-in bookings or manage client records). Each Workshop is responsible for that information under the Protection of Personal Information Act (POPIA): the Workshop must have a lawful basis for collecting and using it, must keep it accurate, and must honor its customers' privacy rights. We process such information on the Workshop's behalf as described in our Privacy Policy. Workshops must not upload personal information they are not lawfully entitled to use.

13. Intellectual Property Rights

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Mekanyk Tech, its licensors, or other providers of such material and are protected by South African and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Platform for its intended purposes: personal use as a Customer, and internal business use as a Workshop. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as generally permitted through the Platform's functionality.

14. User Contributions

The Platform allows users to submit content — including workshop profiles, taglines and welcome messages, photos, promotions, announcements, updates, tips, broadcasts, AI-generated images, vehicle listings, booking details, messages, reviews, reports, and support requests ("User Contributions").

All User Contributions must be accurate, lawful, and compliant with these Terms. By providing any User Contribution, you grant us and our service providers the right to use, host, reproduce, display, and distribute that material as needed to operate and promote the Platform according to your account settings and the Platform's functionality (for example, displaying a Workshop's profile and vehicle listings on our public website).

You represent and warrant that you own or control all rights in and to your User Contributions and have the right to grant the license above. Workshop content is additionally subject to the content standards in section 9. We may remove or refuse any User Contribution at our discretion.

15. Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal information in compliance with POPIA. Please review our Privacy Policy carefully.

16. Suspension and Termination

You may stop using the Platform and close your account at any time; account deletion can be requested in the app or by contacting us. We may suspend or terminate your access to the Platform (or any feature of it) if you materially breach these Terms, if required by law, or to protect the Platform and its users, and we will act reasonably in doing so. Publishing pauses under section 9 are limited to publishing and broadcasts and do not affect a Workshop's other use of the Platform. Sections that by their nature should survive termination (including billing obligations already incurred, intellectual property, disclaimers, limitation of liability, and indemnification) survive.

17. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER MEKANYK TECH NOR ANY PERSON ASSOCIATED WITH MEKANYK TECH MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE PLATFORM.

WITHOUT LIMITING THE FOREGOING, NEITHER MEKANYK TECH NOR ANYONE ASSOCIATED WITH MEKANYK TECH REPRESENTS OR WARRANTS THAT THE PLATFORM, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM — INCLUDING WORKSHOP SERVICES, VEHICLE LISTINGS, AND AI OUTPUTS — WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE PLATFORM OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

NOTHING IN THESE TERMS LIMITS ANY RIGHTS YOU MAY HAVE UNDER THE CONSUMER PROTECTION ACT, 68 OF 2008, OR OTHER LAWS THAT CANNOT BE EXCLUDED BY AGREEMENT.

18. Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL MEKANYK TECH, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE PLATFORM OR SUCH OTHER WEBSITES, ANY SERVICES PROVIDED BY WORKSHOPS, OR ANY VEHICLE PURCHASE FROM A LISTING, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

19. Indemnification

You agree to defend, indemnify, and hold harmless Mekanyk Tech, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your User Contributions, your vehicle listings, services you provide or receive as a Workshop or Customer, any use of the Platform's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform.

20. Governing Law and Jurisdiction

All matters relating to the Platform and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the Republic of South Africa, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Platform shall be instituted exclusively in the courts of South Africa, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

21. Changes to the Terms

We may revise and update these Terms from time to time in our sole discretion. Changes are effective when we post them and apply to all access to and use of the Platform thereafter, except that material changes affecting paid subscriptions will be notified to Workshops with reasonable advance notice. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page periodically so you are aware of any changes, as they are binding on you.
